Arriva is one of four bidders shortlisted by Transport for Wales (‘TfW’) to bid for award of the Wales and Borders Franchise which encompasses operating the Wales and Borders Rail Services and South Wales Metro, anticipated to commence in October 2018 and expire in October 2033 (subject to any rights for TfW to delay the start date or extend the term) (‘Grant Agreement’). The Grant Agreement will include the development of the South Wales Metro, overseeing the transformation of the Cardiff Valley Lines (CVL) from a suburban rail network into a metro style operation, involving extensive infrastructure works. Arriva has, pursuant to the RISQS qualification system, established a new trains procurement to procure new fleets in order to meet the requirements of the Grant Agreement. Arriva is also hereby seeking lease finance for those new fleets. No contracts will be awarded unless Arriva's Grant Agreement bid is successful and is subject to approvals and consents.

- In accordance with Regulation 44(4)(a) of the Utilities Contracts Regulations 2016, Arriva is using this periodic indicative notice as a call for competition.

- Arriva UK Trains Limited is managing this procurement procedure on its own behalf and on behalf of the Arriva group entity who would enter into the Grant Agreement with TfW if successful - currently Arriva Rail Wales / Rheilffrydd Arriva Cymru Limited, who is the Arriva group entity who has been shortlisted by TfW for award of the Grant Agreement.

- Arriva requests that any economic operators interested in this procurement opportunity submit an expression of interest (‘EOI’) by providing a lead contact name and email contact address to for the attention of Eamonn Connolly by 12:00 BST on 11.9.2017.

- All economic operators who have submitted an EOI in accordance with the above shall be invited to confirm their interest in participating in this procurement opportunity. Arriva intends to invite confirmations of interest on or around 13.9.2017.

- With regards section I.3, economic operators should note that the procurement documents will be available from the date on which invitations to confirm interest are sent. The procurement documents will confirm the conditions for participation and selection criteria that Arriva intends to apply to select the economic operators that will be issued an Invitation to Negotiate (‘ITN’) on or around 6.10.2017.

- The estimated total value stated at Section II.1.5 is the maximum estimated total value. The total estimated value range is from 150 000 000 GBP to 800 000 000 GBP and is subject to any changes required by TfW regarding the scope and quantities for the Grant Agreement.
