The contract falls outside the scope of application of the Directive
The land will be sold by WCC in 2 parcels (1 to WDC and one to WHG) with the benefit of outline planning permission granted by WDC for residential development and ancillary infrastructure. In the event that the permission is implemented, the land will be subject to planning obligations enforceable by WDC requiring the provision on-site of the ancillary infrastructure mentioned in the permission, sustainable urban drainage and a proportion of affordable housing and also to planning obligations variously enforceable by WDC and WCC requiring payments towards off-site infrastructure. WHG intends to develop its parcel of land primarily for market and affordable housing. WDC intends to develop its parcel of land for a community stadium, housing and ancillary community uses. The community stadium is not required either by a condition of the permission or a planning obligation (and will require a further grant of planning permission). WCC will retain land in order to make it available for building a school. The contracts of sale, the terms of which will satisfy WCC's obligation to obtain the best consideration that can reasonably be obtained, will not be subject to any requirements requiring WDC or WHG or any other economic operator to design, execute or otherwise realise any works and will not confer on WCC the right to exercise control over the design and/or specification and/or construction of any works except to the extent that connections to roads and services will be made available for the retained school land. These disposals of land will not generate any economic return for WCC beyond the respective sale prices in the contracts of sale. The realisation of the works allowed by the permission and of the community stadium is not an objective of WCC in making the land sales. In the circumstances, the land sales will not constitute a public contract within the meaning of Article 2 of Directive 2014/24/EU of the European Parliament and of the Council and are, therefore, outside the scope of the Directive.
