St Mary's NHS Trust carried out a procurement in 2005 for a framework agreement for the grouped procurement of sterile services for (the ‘Decontamination Services Agreement’ or ‘DSA’) for the following NHS Trusts: North West London Hospitals NHS Trust, Ealing Hospital NHS Trust, The Hillingdon Hospitals NHS Foundation Trust, Royal Brompton and Harefield NHS Foundation Trust, The Royal Marsden NHS Foundation Trust, Imperial College Healthcare NHS Trust, West Middlesex University Hospital, Whittington Hospital NHS Trust. The DSA was awarded to IHSS Limited (‘IHSS’, formerly known as Inhealth Sterile Services Limited). Due to circumstances which were not foreseen, the DSA between the Royal Brompton and Harefield NHS Foundation Trust (the ‘Trust’) must be varied to allow for the on-going provision of decontamination services.

Section IV: Procedure
- The procurement falls outside the scope of application of the directive
The variations are to be implemented in accordance with the variation procedure set out in the DSA. The Trust is of the view that the variations to the DSA between the Trust and IHSS are not substantial within the meaning of Regulation 72(8) of the Public Contracts Regulations 2015 as none of the conditions in sub-sections (a) to (e) of this Regulation is met. By way of further background, the DSA between the Trust and IHSS will be varied so as to allow: (i) decontamination of endoscopes to be carried out by IHSS at premises external to the Trust (which technological advances now permit), subject to specified performance requirements; and (ii) to enable this, the sale to IHSS at market value of the Trust's existing stocks of serviceable endoscopes and an additional element of supply by IHSS to the Trust of endoscopes on a pay per use basis to maintain required inventory levels. The proposed changes to the supply of endoscopes result in IHSS assuming additional inventory risk, for the benefit of the Trust. The supply by IHSS of the flexible endoscopes is part of the wider managed service IHSS is required to provide under the DSA. This would enable a better, more efficient service to be provided by IHSS as a result of single point responsibility in relation to inventory management of flexible endoscopes, and the minimisation of additional interfaces.
